Terms of Service

Welcome to Synthri. These Terms of Service ("Terms") govern your access to and use of the Synthri mobile application and related services (the "Services"), provided by Virtugenic LLC ("Synthri", "we", "us", or "our"). By creating an account or using the Services, you agree to these Terms.

1. Important Health Disclaimer

Synthri is a wellness and education tool. It is not a medical device, not a medical service, and not a substitute for professional medical advice, diagnosis, or treatment.

The information provided through Synthri is for educational and informational purposes only. We do not:

  • Diagnose, treat, cure, or prevent any disease or condition.
  • Provide medical advice or prescriptions.
  • Replace your healthcare provider in any way.

Always seek the advice of a qualified healthcare provider with any questions you may have regarding your health. Never disregard professional medical advice or delay in seeking it because of information you read or see in Synthri. If you think you may have a medical emergency, call your doctor or emergency services immediately.

2. Eligibility

You must be at least 18 years old to use Synthri. By creating an account, you confirm you meet this age requirement and that the information you provide is accurate.

3. Your Account

You are responsible for maintaining the security of your account and password. You agree to provide accurate information and to notify us immediately of any unauthorized access. We are not liable for any loss or damage from your failure to protect your credentials.

4. Your Content

You retain ownership of all content you upload, including lab reports and any health data. By uploading content, you grant Synthri a limited license to process, store, and analyze that content solely to provide the Services to you.

You represent that:

  • You have the right to upload any content you share with us.
  • The content does not violate any third party's rights or applicable law.
  • The content is your own health data (or that of a person you are authorized to act for).

5. Acceptable Use

You agree NOT to:

  • Use Synthri to make medical decisions without consulting your healthcare provider.
  • Upload data that is not your own, or that you do not have the right to upload.
  • Reverse-engineer, decompile, or attempt to extract source code from the Services.
  • Use the Services to harass, abuse, or harm others.
  • Attempt to access another user's account or data.
  • Use the Services in a way that interferes with normal operation, including but not limited to overloading our systems, automated scraping, or denial-of-service attempts.
  • Use the Services for any unlawful purpose.

6. AI-Generated Content

Synthri uses AI to extract biomarkers from your lab reports and generate plain-English interpretations. AI-generated content may contain errors, omissions, or inaccuracies. You should verify any extracted values against your original lab report and discuss interpretations with a qualified healthcare provider before acting on them.

7. Subscriptions and Payments

Some features of Synthri may require a paid subscription. Subscription terms, pricing, and renewal details are shown in the app before purchase. Apple's App Store and Google Play handle all billing. Cancellation and refund policies are governed by Apple and Google.

8. Intellectual Property

The Synthri name, logo, app, and all associated content (excluding your uploaded data) are the property of Virtugenic LLC and protected by copyright, trademark, and other intellectual property laws. You may not use our branding without prior written permission.

9. Termination

You may stop using Synthri at any time. You may delete your account through the Settings screen, which permanently removes all your data. We may suspend or terminate your access if you violate these Terms or for any other reason at our discretion.

10. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM SECURITY VULNERABILITIES.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VIRTUGENIC LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100.

12. Indemnification

You agree to indemnify and hold harmless Virtugenic LLC, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Services, your content, or your violation of these Terms.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of Tennessee, USA, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of Synthri shall be resolved through binding arbitration in Davidson County, Tennessee, except that either party may seek injunctive relief in court for intellectual property infringement.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the app or by email. Continued use of Synthri after changes constitutes acceptance of the updated Terms.
